PLAYTIME MOVEMENT, LLC

END USER LICENSE AGREEMENT (EULA)

Effective Date: August 1, 2026

This End User License Agreement ("Agreement" or "EULA") is a legally binding agreement between you ("User," "Participant," "Parent/Guardian," "Facility," "Organization," or "Healthcare Professional") and PlayTime Movement, LLC ("PlayTime Movement," "Company," "we," "our," or "us").

By downloading, accessing, registering for, subscribing to, purchasing, or using the PlayTime Movement website, mobile application, assessments, dashboards, educational content, software, reports, and related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by this Agreement.

If you do not agree to these terms, do not use the Platform.

1. Purpose of the Platform

PlayTime Movement is an educational and movement-literacy platform designed to provide:

• Movement assessments
• Physical literacy education
• Coach assistive technology
• Educational lessons and learning modules
• Wellness and health education
• Movement competency tracking
• Performance reporting
• Aggregate analytics
• Data dashboards
• Facility and organizational reporting

The Platform is intended to promote movement awareness, wellness, injury prevention, physical literacy, and educational development. The Platform is not intended to replace professional medical advice, diagnosis, evaluation, or treatment.

2. Eligibility

You may use the Platform only if:

• You are at least eighteen (18) years of age; or
• You are the parent or legal guardian of a minor participant; or
• You are authorized to act on behalf of an organization utilizing the Platform.

Parents and legal guardians are fully responsible for all activity conducted through accounts established for minors.

3. License Grant

Subject to compliance with this Agreement, PlayTime Movement grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

This license does not transfer ownership of any software, content, intellectual property, assessments, methodologies, algorithms, reports, educational materials, or proprietary information.

All rights not expressly granted are reserved by PlayTime Movement.

4. Assessment Participation

The Platform may require users to complete:

• Movement assessments
• Physical literacy evaluations
• Health questionnaires
• Educational modules
• Surveys
• Progress monitoring activities
• Functional movement screenings

Participation is voluntary.

You acknowledge that:

• Assessments may not identify all risks, limitations, injuries, or conditions.
• Results may vary over time.
• Assessment outcomes are informational and educational in nature.
• Results should not be interpreted as medical diagnoses.
• Users remain responsible for seeking medical evaluation when appropriate.

5. User Compensation, Incentives, and Rewards

PlayTime Movement, participating facilities, schools, employers, healthcare organizations, insurers, or other authorized entities may offer compensation, rewards, discounts, incentives, prizes, credits, gift cards, or other benefits for completing assessments or participating in programs.

PlayTime Movement reserves the right to:

• Modify incentive programs;
• Discontinue incentive programs;
• Adjust eligibility requirements;
• Establish participation requirements.

The Company does not guarantee availability of rewards or compensation.

Any incentive program may be subject to separate terms and conditions, tax obligations, legal restrictions, or eligibility requirements.

6. Therapist and Healthcare Professional Access

Users may authorize healthcare professionals to access information generated through their use of the Platform.

Authorized professionals may include:

• Physical therapists
• Occupational therapists
• Physicians
• Athletic trainers
• Chiropractors
• Exercise professionals
• Coaches
• Other approved healthcare providers

Access may include:

• Assessment results
• Educational completion records
• Participation history
• Progress reports
• Movement evaluation data
• Aggregate performance metrics

Healthcare professionals remain solely responsible for their clinical judgment and treatment decisions.

PlayTime Movement does not provide healthcare services through therapist-access features.

7. HIPAA and Health Information

Where applicable, PlayTime Movement may receive, transmit, store, or process health-related information.

When operating on behalf of a covered entity or healthcare provider subject to the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), PlayTime Movement will comply with applicable contractual and legal obligations, including Business Associate Agreements ("BAAs") where required.

Users acknowledge that:

• Not all information submitted to the Platform constitutes Protected Health Information ("PHI").
• Healthcare organizations remain responsible for determining HIPAA compliance requirements.
• Users consent to the collection, storage, transmission, and processing of information necessary to operate the Platform.

Although PlayTime Movement employs commercially reasonable security measures, no electronic system can guarantee absolute security.

8. Facility and Organization Accounts

Schools, sports organizations, clinics, healthcare systems, employers, community organizations, and other approved entities may purchase organizational access to the Platform.

Organizations may receive access to:

• Aggregate reports
• Participation metrics
• Assessment completion statistics
• Educational completion statistics
• Benchmarking information
• Program utilization analytics
• Organizational dashboards

Organizations may access information only in accordance with applicable laws, participant authorizations, privacy requirements, and contractual agreements.

9. View-Only Facility Licenses

Certain subscriptions may provide view-only access.

Facilities utilizing a view-only license may:

• Review assessment status
• View progress dashboards
• Monitor educational completion
• Access aggregate reports
• View participation trends

View-only licenses do not permit:

• Modification of user records
• Administrative management functions
• Unauthorized access to participant information
• Redistribution of data outside authorized uses

10. Educational Content Access Licenses

Licensed users may be provided access to:

• Learning lessons
• Movement literacy curriculum
• Exercise libraries
• Educational videos
• Interactive content
• School-based programming
• Professional learning resources

Access is governed by the subscription level purchased.

Users may not copy, distribute, reproduce, sell, sublicense, modify, or commercially exploit educational materials without written permission from PlayTime Movement.

11. Educational Purpose Only; No Medical Advice

PlayTime Movement is an educational and informational platform designed to promote movement literacy, physical activity, wellness, injury awareness, and understanding of movement-related concepts.

The Platform, including but not limited to:

• Movement assessments
• Questionnaires
• Reports
• Scores
• Recommendations
• Educational lessons
• Exercise demonstrations
• Progress tracking
• Facility reporting
• Therapist dashboards
• Algorithms and analytics

is not intended to provide:

• Medical advice
• Medical diagnosis
• Physical therapy services
• Occupational therapy services
• Athletic training services
• Healthcare treatment
• Rehabilitation services
• Individualized healthcare recommendations

No information provided through the Platform should be interpreted as:

• Medical advice
• Healthcare advice
• Physical therapy treatment
• Healthcare treatment
• Diagnosis of a disease, injury, or medical condition
• A substitute for professional healthcare services

Users should consult licensed healthcare professionals regarding any injury, symptoms, health concerns, diagnosis, treatment decisions, or medical conditions.

Assessment results, movement scores, risk indicators, and educational recommendations are intended solely for educational purposes and to facilitate informed discussions with qualified professionals.

PlayTime Movement makes no representation that any assessment, algorithm, scoring system, recommendation, educational lesson, or report can identify, diagnose, prevent, predict, or treat any medical condition, disease, injury, disability, or impairment.

If you experience pain, dizziness, injury, worsening symptoms, shortness of breath, or any medical emergency, discontinue participation immediately and seek appropriate medical care.

Nothing within the Platform should delay, replace, or discourage evaluation, diagnosis, or treatment from a qualified healthcare provider.

11A. No Provider-Patient Relationship

Use of the Platform does not establish a:

• Physician-patient relationship
• Therapist-patient relationship
• Healthcare provider-patient relationship
• Athletic trainer-patient relationship
• Coach-client treatment relationship
• Any professional treatment relationship

between a User and PlayTime Movement.

The availability of:

• Assessments
• Educational content
• Therapist access
• Provider dashboards
• Progress tracking
• Communications tools
• Reports
• Shared information

does not create a professional medical treatment relationship with PlayTime Movement.

Any healthcare professional accessing information through the Platform acts independently and solely under their own professional judgment, licensure obligations, legal duties, and ethical responsibilities.

PlayTime Movement serves solely as a technology, educational, reporting, analytics, and data-management platform and assumes no responsibility for healthcare decisions, diagnoses, treatment recommendations, referrals, or clinical outcomes resulting from actions taken by third-party professionals.

12. Assumption of Risk

Participation in movement-related activities involves inherent risks.

By using the Platform, you voluntarily assume all risks associated with participation, including but not limited to:

• Falls
• Muscle strains
• Sprains
• Physical injury
• Illness
• Aggravation of existing conditions
• Other unforeseen adverse events

Participation is entirely voluntary and undertaken at your own risk.

13. Data Analytics and De-Identified Data

PlayTime Movement may collect, analyze, and utilize anonymized, aggregated, and de-identified information to:

• Improve services
• Conduct quality improvement initiatives
• Develop educational content
• Perform benchmarking
• Improve assessments
• Conduct business analytics
• Support product development
• Generate industry reports

Personally identifiable information will not intentionally be included in publicly shared aggregate reports.

13A. Research, Outcomes Tracking, and De-Identified Data Use Consent

By using the Platform, you consent to the collection, analysis, and use of information generated through the Platform for research, educational, scientific, quality improvement, operational, and business purposes.

PlayTime Movement may use information generated through the Platform to:

• Evaluate program effectiveness
• Measure participant outcomes
• Develop movement-literacy benchmarks
• Improve educational lessons
• Improve assessment tools
• Conduct outcomes research
• Support grant applications
• Develop reporting systems
• Support academic publications
• Advance scientific and educational knowledge

Before information is used for research, publication, benchmarking, analytics, or external reporting, PlayTime Movement will de-identify information to the extent required by applicable law.

De-identified information may include:

• Age ranges
• Geographic regions
• Assessment outcomes
• Physical literacy scores
• Participation metrics
• Educational completion rates
• Functional performance measures
• Aggregate wellness outcomes

PlayTime Movement may retain and use de-identified and aggregated information indefinitely for legitimate educational, scientific, quality improvement, product development, research, business, benchmarking, and commercial purposes.

PlayTime Movement may publish de-identified findings in:

• Academic journals
• Professional conferences
• Educational presentations
• White papers
• Research reports
• Marketing materials
• Grant applications

When required by law, regulation, research ethics requirements, institutional review boards (IRBs), or contractual obligations, additional consent will be obtained.

13B. Artificial Intelligence, Analytics, and Algorithm Development

Users acknowledge that PlayTime Movement may utilize de-identified and aggregated information to develop, improve, validate, and refine:

• Artificial intelligence systems
• Machine learning technologies
• Analytics platforms
• Predictive models
• Reporting systems
• Scoring methodologies
• Assessment algorithms
• Educational recommendation systems

No personally identifiable information or Protected Health Information will knowingly be used for these purposes except as permitted by applicable law and applicable agreements.

All resulting intellectual property, models, algorithms, methodologies, derivative works, and improvements shall remain the exclusive property of PlayTime Movement, LLC.

14. Intellectual Property Rights

All content contained within the Platform, including but not limited to:

• Assessments
• Reports
• Algorithms
• Scoring systems
• Educational content
• Videos
• Graphics
• Text
• Software
• Trademarks
• Logos
• Research methodologies

is owned exclusively by PlayTime Movement, LLC.

No content may be copied, reproduced, redistributed, reverse engineered, or commercially exploited without prior written permission.

15. Prohibited Uses

Users agree not to:

• Share login credentials
• Share data obtained through the platform
• Circumvent security controls
• Upload malicious software
• Misrepresent identity
• Violate applicable laws
• Attempt unauthorized access
• Scrape or harvest data
• Interfere with Platform operations

16. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

PLAYTIME MOVEMENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF RESULTS
• CONTINUOUS AVAILABILITY

Use of the Platform is entirely at the user's own risk.

17. Limitation of Liability

To the fullest extent permitted by law, PlayTime Movement shall not be liable for:

• Personal injury
• Healthcare outcomes
• Lost profits
• Lost business opportunities
• Data loss
• Loss of goodwill
• Emotional distress
• Indirect damages
• Consequential damages

arising from the use of the Platform.

In no event shall PlayTime Movement's total liability exceed the amount paid by the user or organization during the twelve (12) months preceding the event giving rise to the claim.

18. Termination

PlayTime Movement may suspend or terminate access to the Platform at any time for:

• Violation of this Agreement
• Security concerns
• Fraudulent conduct
• Non-payment
• Misuse of the Platform

Upon termination, all access rights immediately cease.

19. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Ohio.

Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Lucas County, Ohio.

20. Changes to this Agreement

PlayTime Movement reserves the right to modify this Agreement at any time.

Continued use of the Platform after modifications become effective constitutes acceptance of the revised Agreement.
